This article analyzes the process of formation and development of cooperative interorganizational relationships for research and development of products in biotechnological organizations. Cooperation activities of two firms from the Brazilian state of Minas Gerais are analyzed within a theoretical framework about strategic alliances and biotechnology. Findings point out to as the main reason for these organizations to cooperate their incapacity to perform certain activities. The principal control mechanism used in the relations is the formal contract and trust. Interaction problems have been solved by negotiation and dialogue instead of legal litigation. Considering the importance of the technological development for the organizations studied, cooperation became a strategic difference for them.
